IMPORTANT INFORMATION FOR VENDORS
Please read these Seller Terms and Conditions ("Terms") carefully before creating a Vendor Account or offering any Products or Experiences through the ZeepUp Platform.
These Terms constitute a legally binding agreement between you ("Vendor", "you" or "your") and ZEEPUP LTD ("ZeepUp", "we", "our" or "us").
By registering as a Vendor, creating a Vendor Account, listing Products or Experiences, or otherwise using the Platform as a Vendor, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you must not register or use the Platform as a Vendor.
ZeepUp is a Marketplace
ZeepUp operates solely as a technology marketplace connecting Customers with independent Vendors.
ZeepUp:
- is not the seller of your Products;
- is not the provider of your Experiences;
- does not employ Vendors;
- does not operate Restaurants or Home Kitchens;
- does not manage private dining Experiences;
- does not act as your agent, representative, franchisee or partner;
- does not guarantee any level of sales, revenue or bookings.
You remain solely responsible for your business and all Products and Experiences made available through the Platform.

PART A – INTRODUCTION
1. DEFINITIONS AND INTERPRETATION
In these Terms, unless the context otherwise requires:
Account means the Vendor account created to access and use the Platform.
Booking means any confirmed reservation, order or purchase made by a Customer through the Platform.
Customer means any individual or organisation purchasing Products or booking Experiences through the Platform.
Experience means any private dining experience, cooking class, tasting, workshop or other hospitality service offered through the Platform.
Home Kitchen means a Vendor preparing food from a private or domestic kitchen for collection by Customers.
Marketplace means the online marketplace operated by ZeepUp.
Platform means the ZeepUp website, mobile applications and all related digital services.
Products means food, beverages and any other goods offered by the Vendor through the Platform.
Restaurant means a commercial food business offering Products or services through the Platform.
Vendor means any restaurant, chef, sole trader, company, Home Kitchen operator or other business or individual offering Products or Experiences through the Platform.
ZeepUp, we, our or us means ZEEPUP LTD or any successor company operating the Platform within the United Kingdom.
Headings are for convenience only and shall not affect interpretation.
References to legislation include any amendment, replacement or re-enactment.
References to "including" shall mean "including without limitation".
Words in the singular include the plural and vice versa.
2. ABOUT ZEEPUP
ZeepUp operates an online technology marketplace that enables independent Vendors to promote, market and sell Products and Experiences directly to Customers.
ZeepUp provides technology, payment facilitation and marketplace services only.
Unless expressly stated otherwise, ZeepUp:
- does not own or operate Restaurants;
- does not own or operate Home Kitchens;
- does not employ chefs or hospitality staff;
- does not prepare or supply food;
- does not host Experiences;
- does not manage Vendor businesses.
Each Vendor operates as an independent business and remains solely responsible for all aspects of its activities.
Nothing contained in these Terms creates any partnership, joint venture, employment relationship, agency, franchise or fiduciary relationship between ZeepUp and any Vendor.
3. RELATIONSHIP BETWEEN ZEEPUP AND THE VENDOR
The Vendor acknowledges that ZeepUp acts solely as an independent marketplace operator.
The Vendor appoints neither ZeepUp nor any of its affiliates as its agent for the provision of Products or Experiences.
The Vendor retains sole responsibility for:
- operating its business;
- preparing Products;
- organising Experiences;
- setting prices;
- determining availability;
- complying with applicable laws;
- managing Customers;
- fulfilling Bookings.
The Vendor acknowledges that all contracts relating to the sale of Products or the provision of Experiences are entered into directly between the Vendor and the Customer.
ZeepUp shall not become a party to any such contract solely by operating the Platform or facilitating payments.
Nothing contained within the Platform shall be interpreted as granting ZeepUp authority to make representations, warranties or commitments on behalf of the Vendor.
Likewise, the Vendor shall not represent itself as acting on behalf of ZeepUp.
4. ACCEPTANCE OF THESE TERMS
By registering as a Vendor, creating an Account, listing Products or Experiences or accepting any Booking through the Platform, the Vendor confirms that:
- it has read these Terms in full;
- it understands these Terms;
- it agrees to comply with these Terms;
- it has authority to enter into legally binding agreements;
- where acting on behalf of a company or other organisation, it has authority to bind that organisation.
The Vendor further acknowledges that continued use of the Platform constitutes ongoing acceptance of these Terms and any amendments made in accordance with Section 45.
Where the Vendor does not agree with these Terms, it must immediately cease using the Platform and remove all listings.
These Terms apply in addition to any Platform Policies, Trust & Safety Policies, Community Guidelines, Privacy Policy, Payment Terms or other policies published by ZeepUp from time to time, all of which form part of the contractual relationship between ZeepUp and the Vendor where expressly incorporated by reference.
PART B – VENDOR ELIGIBILITY
5. ELIGIBILITY REQUIREMENTS
To register as a Vendor on the Platform, you must, at all times:
- be at least 18 years of age;
- have the legal capacity to enter into binding contracts;
- be legally entitled to carry on the business or activity offered through the Platform;
- comply with all applicable laws, regulations and industry standards;
- provide complete, accurate and up-to-date information during registration and throughout your use of the Platform.
Where the Vendor is a company, partnership or other legal entity, the individual accepting these Terms confirms that they have full authority to bind that entity.
The Vendor is solely responsible for ensuring that its activities may lawfully be carried out in the jurisdiction(s) in which Products or Experiences are offered.
ZeepUp may refuse or reject any application where it reasonably believes that the Vendor does not satisfy these eligibility requirements.
Acceptance onto the Platform does not constitute certification, endorsement or approval by ZeepUp.
6. REGISTRATION AND ONBOARDING
As part of the registration process, Vendors may be required to provide information including, but not limited to:
- legal name;
- trading name;
- business address;
- registered office (where applicable);
- email address;
- telephone number;
- identity information;
- payment details;
- tax information;
- business registration details;
- food business registration details;
- licences or permits;
- insurance information;
- photographs;
- menus;
- pricing;
- Product descriptions;
- Experience descriptions;
- opening hours;
- collection details;
- availability calendars.
ZeepUp may request additional information or documentation at any time where reasonably necessary to:
- comply with legal obligations;
- complete onboarding;
- verify information;
- investigate complaints;
- prevent fraud;
- maintain the integrity of the Platform.
The Vendor agrees to cooperate fully with any reasonable onboarding or compliance request.
Failure to provide requested information may result in delayed activation, suspension or rejection of the Vendor's Account.
7. VERIFICATION AND NO CERTIFICATION BY ZEEPUP
ZeepUp may, but is under no obligation to:
- review documentation;
- request evidence of licences;
- request evidence of insurance;
- request proof of identity;
- request tax information;
- request food registration details;
- request photographs;
- request any other information it reasonably considers appropriate.
Any such review is carried out solely for operational, regulatory, fraud prevention or compliance purposes.
The Vendor expressly acknowledges that any onboarding review, document request, verification process or approval by ZeepUp does not constitute:
- certification;
- accreditation;
- licensing;
- endorsement;
- inspection;
- regulatory approval;
- confirmation of legal compliance;
- confirmation of food safety compliance;
- confirmation of tax compliance;
- confirmation of insurance cover;
- confirmation of business suitability.
The Vendor further acknowledges that publication of Products or Experiences on the Platform shall not be interpreted as confirmation by ZeepUp that:
- the Vendor complies with applicable laws;
- the Vendor holds all necessary licences;
- the Vendor is appropriately insured;
- the Vendor's premises are suitable;
- the Vendor's Products are safe;
- the Vendor's Experiences meet any particular quality standard.
The Vendor remains solely responsible for ensuring compliance with all legal, regulatory and professional obligations applicable to its business.
8. VENDOR ACCOUNTS
Each Vendor is responsible for maintaining the security and confidentiality of its Account credentials.
The Vendor shall:
- keep login credentials secure;
- restrict access to authorised personnel only;
- promptly notify ZeepUp of any suspected unauthorised access;
- ensure that all Account information remains accurate and current.
The Vendor must not:
- create multiple Accounts without ZeepUp's written approval;
- impersonate another individual or business;
- permit unauthorised persons to use its Account;
- sell, assign or transfer its Account;
- create an Account using false or misleading information.
The Vendor remains fully responsible for all activity carried out through its Account, including activity undertaken by employees, contractors, representatives or any other person using the Vendor's login credentials.
ZeepUp may suspend, restrict or terminate any Vendor Account where it reasonably believes that:
- these Terms have been breached;
- inaccurate information has been provided;
- fraudulent activity has occurred;
- the security of the Platform has been compromised;
- continued access may expose ZeepUp, Customers or other Vendors to legal, financial or reputational risk.
The Vendor shall not acquire any ownership rights in its Account, which remains part of the Platform operated by ZeepUp.
ZeepUp reserves the right to reclaim inactive, fraudulent or abandoned Accounts where reasonably necessary for operational or security purposes.
PART C – VENDOR WARRANTIES
9. GENERAL VENDOR WARRANTIES
The Vendor represents, warrants and undertakes that, at all times while using the Platform:
- all information provided to ZeepUp is true, accurate, complete and up to date;
- it has the legal right to operate its business;
- it has full authority to sell the Products and provide the Experiences listed on the Platform;
- all Products and Experiences comply with applicable laws;
- all photographs, descriptions, menus, prices and other information published on the Platform are accurate and not misleading;
- it shall immediately update any information that becomes inaccurate or out of date.
The Vendor shall be solely responsible for the accuracy of all information published on the Platform.
The Vendor acknowledges that ZeepUp relies entirely upon the information supplied by the Vendor and accepts no responsibility for verifying its accuracy.
10. COMPLIANCE WITH LAWS
The Vendor shall comply at all times with all applicable laws, regulations, codes of practice and guidance relevant to its business and activities.
Without limitation, the Vendor shall comply with:
- food safety legislation;
- consumer protection legislation;
- employment legislation;
- licensing requirements;
- environmental legislation;
- tax legislation;
- health and safety legislation;
- data protection legislation;
- trading standards requirements;
- all applicable local authority requirements.
The Vendor shall obtain and maintain all licences, registrations, permits, approvals and authorisations required to lawfully operate its business.
The Vendor shall immediately notify ZeepUp of any investigation, enforcement action, licence suspension, prosecution or regulatory action that may affect its ability to provide Products or Experiences through the Platform.
11. LICENCES, REGISTRATIONS AND REGULATORY COMPLIANCE
The Vendor is solely responsible for obtaining, maintaining and complying with all licences, registrations, permits and regulatory approvals required for its activities.
Where applicable, this includes, without limitation:
- Food Business Registration;
- Food Hygiene Registration;
- local authority registrations;
- alcohol licences;
- street trading licences;
- business registrations;
- planning permissions;
- fire safety requirements;
- health and safety requirements;
- any other approval required under applicable law.
The Vendor warrants that all such registrations and licences remain valid throughout its use of the Platform.
The Vendor shall provide copies of any licences or registrations to ZeepUp upon reasonable request.
Failure to maintain the required licences may result in immediate suspension or termination of the Vendor Account.
12. FOOD SAFETY AND HYGIENE
The Vendor accepts sole and exclusive responsibility for:
- sourcing ingredients;
- food preparation;
- food handling;
- food storage;
- temperature control;
- packaging;
- labelling;
- transportation (where applicable);
- food hygiene;
- food safety;
- compliance with HACCP principles where applicable;
- compliance with Food Standards Agency guidance;
- compliance with all applicable food legislation.
The Vendor warrants that all Products supplied through the Platform are prepared in accordance with applicable food safety legislation and industry standards.
The Vendor shall ensure that all staff, contractors or assistants involved in food preparation possess the necessary knowledge, training and competence required by applicable law.
ZeepUp does not inspect food preparation, kitchens, ingredients or hygiene practices and accepts no responsibility whatsoever for food safety.
13. ALLERGENS AND FOOD INFORMATION
The Vendor is solely responsible for providing complete, accurate and up-to-date information regarding:
- ingredients;
- allergens;
- nutritional information (where required);
- dietary suitability;
- preparation methods;
- cross-contamination risks.
The Vendor warrants that all allergen information published through the Platform complies with applicable legislation, including Natasha's Law where applicable.
The Vendor shall immediately update any allergen or ingredient information whenever changes occur.
The Vendor acknowledges that Customers rely upon the information supplied by the Vendor when making purchasing decisions.
The Vendor agrees to indemnify ZeepUp against any claim arising from inaccurate, incomplete or misleading allergen or food information.
14. TAX, VAT AND ACCOUNTING OBLIGATIONS
The Vendor is solely responsible for:
- determining its own tax status;
- registering for VAT where required;
- accounting for VAT;
- paying all taxes;
- issuing invoices where required;
- maintaining accounting records;
- complying with HM Revenue & Customs (HMRC) requirements;
- complying with all financial reporting obligations.
The Vendor acknowledges that ZeepUp does not provide tax, accounting or legal advice.
The Vendor shall obtain independent professional advice where necessary.
The Vendor shall indemnify ZeepUp against any liability arising from the Vendor's failure to comply with applicable tax legislation.
15. INSURANCE
The Vendor acknowledges and agrees that ZeepUp does not provide, arrange or maintain any insurance for Vendors, Customers, Products, Experiences, premises or business activities.
In particular, ZeepUp does not provide:
- public liability insurance;
- product liability insurance;
- employer's liability insurance;
- professional indemnity insurance;
- property insurance;
- business interruption insurance;
- accident insurance;
- legal expenses insurance;
- any other form of insurance cover.
The Vendor is solely responsible for determining whether insurance is required or appropriate for its business.
Where insurance is required by applicable law, regulatory requirements, licensing conditions or industry practice, the Vendor shall obtain and maintain adequate insurance coverage throughout its use of the Platform.
The Vendor remains solely responsible for all civil, criminal, regulatory, contractual and administrative liability arising from its business activities, Products, Experiences, employees, contractors, premises and operations.
Nothing contained in these Terms shall be interpreted as transferring any such liability to ZeepUp.
The Vendor shall provide evidence of insurance to ZeepUp upon reasonable request where ZeepUp reasonably considers such evidence necessary for compliance, trust and safety, fraud prevention or legal purposes.
Failure to maintain legally required insurance may result in immediate suspension or permanent removal from the Platform.
PART D – PRODUCTS AND EXPERIENCES
16. RESTAURANTS
Vendors operating Restaurants through the Platform are solely responsible for the operation of their restaurant business and for all Products and services offered to Customers.
Without limitation, the Vendor shall be solely responsible for:
- preparing and serving food;
- food quality and presentation;
- hygiene standards;
- customer service;
- pricing;
- menus;
- opening hours;
- staffing;
- compliance with food safety legislation;
- compliance with licensing requirements;
- compliance with health and safety legislation.
The Vendor warrants that all information displayed on the Platform accurately reflects the Products and services offered.
The Vendor shall immediately update any information that becomes inaccurate or misleading.
The Vendor remains solely responsible for the execution of every Booking accepted through the Platform.
17. HOME KITCHENS
Where the Vendor operates a Home Kitchen, the Vendor acknowledges that it is solely responsible for all activities carried out from its domestic or private kitchen.
The Vendor warrants that:
- the Home Kitchen may lawfully be used for the preparation of Products;
- all applicable registrations have been obtained;
- all applicable food safety legislation is complied with;
- all applicable local authority requirements are complied with;
- Products are prepared in hygienic conditions;
- Products are suitable for sale to Customers.
The Vendor is solely responsible for:
- food preparation;
- storage;
- packaging;
- labelling;
- allergen information;
- collection arrangements;
- compliance with all legal requirements applicable to Home Kitchens.
ZeepUp does not inspect, certify, approve or monitor Home Kitchens.
The Vendor acknowledges that publication on the Platform shall not constitute approval or certification by ZeepUp.
18. HOME DINING EXPERIENCES
The Vendor is solely responsible for organising and hosting any Home Dining Experience.
Without limitation, the Vendor shall be solely responsible for:
- the safety of the premises;
- cleanliness;
- food preparation;
- customer hospitality;
- seating arrangements;
- accessibility information;
- fire safety;
- compliance with health and safety legislation;
- licensing requirements where applicable;
- compliance with local authority requirements.
The Vendor warrants that it is legally entitled to host the Experience at the relevant premises.
The Vendor acknowledges that ZeepUp does not:
- inspect residential properties;
- verify the suitability of premises;
- assess accessibility;
- verify fire safety;
- supervise Experiences;
- provide security services;
- provide staff.
The Vendor remains solely responsible for any accident, injury, illness, property damage or other incident occurring during an Experience except to the extent directly caused by ZeepUp's own negligence.
19. PRODUCT AND EXPERIENCE LISTINGS
The Vendor is solely responsible for all content published on the Platform.
This includes, without limitation:
- Product descriptions;
- Experience descriptions;
- photographs;
- videos;
- menus;
- pricing;
- ingredients;
- allergen information;
- opening hours;
- collection instructions;
- Experience schedules;
- promotional material.
The Vendor warrants that all content published:
- is accurate;
- is complete;
- is not misleading;
- complies with applicable law;
- does not infringe the intellectual property rights of any third party;
- does not infringe privacy rights;
- does not contain defamatory, unlawful or offensive material.
The Vendor grants ZeepUp a worldwide, non-exclusive, royalty-free licence to host, reproduce, publish, display, distribute and use such content for the operation, marketing and promotion of the Platform.
The Vendor may remove or update content at any time, subject to any outstanding Bookings.
20. PRICING
The Vendor is solely responsible for determining the prices of Products and Experiences offered through the Platform.
The Vendor warrants that all prices displayed:
- are accurate;
- include any taxes required by applicable law;
- are not misleading;
- comply with applicable consumer protection legislation.
The Vendor shall not manipulate pricing in a manner intended to mislead Customers.
ZeepUp reserves the right to suspend or remove listings where obvious pricing errors, fraudulent pricing practices or technical errors are identified.
Where an obvious pricing error results from a technical malfunction of the Platform, ZeepUp may cancel affected Bookings and refund Customers.
21. AVAILABILITY AND CALENDAR
The Vendor is responsible for maintaining accurate availability on the Platform.
The Vendor shall:
- keep opening hours up to date;
- maintain an accurate booking calendar;
- update Product availability promptly;
- remove unavailable Products or Experiences;
- avoid accepting Bookings that cannot reasonably be fulfilled.
Repeated failures to maintain accurate availability may result in:
- reduced visibility within the Platform;
- temporary suspension of listings;
- temporary suspension of the Vendor Account;
- permanent removal from the Platform.
ZeepUp may monitor fulfilment performance and booking reliability for operational and trust and safety purposes.
22. ORDERS AND BOOKINGS
By accepting a Booking, the Vendor enters into a legally binding contract directly with the Customer.
The Vendor shall:
- honour all confirmed Bookings;
- prepare Products with reasonable care and skill;
- deliver Experiences as described;
- ensure Products are available at the agreed collection time;
- communicate promptly with Customers regarding operational issues.
The Vendor shall not cancel Bookings except where reasonably necessary.
Where cancellation becomes unavoidable, the Vendor shall notify ZeepUp immediately.
Repeated cancellations, no-shows, poor fulfilment performance or operational failures may result in suspension or termination of the Vendor Account.
ZeepUp reserves the right to establish minimum performance standards for Vendors.
23. CANCELLATIONS
The Vendor acknowledges that ZeepUp's cancellation policies form part of the operation of the Platform.
Unless otherwise expressly agreed by ZeepUp in writing:
For Home Dining Experiences and Home Kitchen Orders:
Customers may cancel:
- up to twenty-four (24) hours before the scheduled Booking; or
- within fifteen (15) minutes of placing the Booking where the scheduled collection or Experience is due to take place within the following two (2) hours.
The Vendor agrees to honour these cancellation rights.
The Vendor shall not seek to charge Customers additional cancellation fees outside the Platform.
Where the Vendor cancels a confirmed Booking, ZeepUp may, at its discretion:
- refund the Customer;
- recover any applicable fees from the Vendor;
- reduce the Vendor's ranking;
- suspend listings;
- suspend or terminate the Vendor Account.
Repeated Vendor cancellations shall be treated as a material breach of these Terms.
Nothing in this section limits ZeepUp's ability to introduce additional cancellation policies, performance standards or operational rules from time to time.
PART E – CUSTOMER RELATIONSHIP
24. CUSTOMER INFORMATION
To facilitate the performance of Bookings, ZeepUp may provide the Vendor with certain Customer information necessary for the fulfilment of the relevant Booking.
Such information may include:
- Customer name;
- contact details;
- Booking details;
- collection or attendance information;
- any additional information voluntarily provided by the Customer that is necessary to fulfil the Booking.
The Vendor shall use Customer information solely for the purposes of:
- fulfilling the Booking;
- communicating with the Customer regarding the Booking;
- complying with legal obligations.
The Vendor shall not:
- use Customer information for unrelated purposes;
- sell Customer information;
- disclose Customer information to unauthorised third parties;
- retain Customer information for longer than necessary;
- use Customer information for unsolicited marketing unless the Customer has provided all necessary consents required by applicable law.
The Vendor acknowledges that Customer information remains confidential and shall implement appropriate technical and organisational measures to protect such information.
25. CUSTOMER DATA PROTECTION
The Vendor acknowledges that it is independently responsible for complying with all applicable data protection legislation in relation to any personal data processed through its business activities.
The Vendor shall:
- process personal data lawfully, fairly and transparently;
- implement appropriate technical and organisational security measures;
- protect Customer information against unauthorised access, disclosure, loss or destruction;
- comply with all applicable requirements of the UK GDPR and the Data Protection Act 2018.
The Vendor shall immediately notify ZeepUp of any actual or suspected personal data breach affecting Customer information obtained through the Platform where such breach may affect ZeepUp or its users.
Nothing in these Terms shall be interpreted as appointing ZeepUp as the Vendor's data processor or transferring the Vendor's legal responsibilities under applicable data protection legislation.
The Vendor shall indemnify ZeepUp against any claim, regulatory action, investigation, fine or penalty arising from the Vendor's failure to comply with applicable data protection legislation.
26. CUSTOMER CONDUCT
The Vendor acknowledges that Customers are independent users of the Platform.
ZeepUp does not guarantee the behaviour, identity, honesty, suitability or reliability of any Customer.
The Vendor further acknowledges that ZeepUp does not routinely:
- verify Customer identity;
- perform criminal background checks;
- assess Customer suitability;
- investigate Customer reputation;
- guarantee Customer behaviour.
The Vendor shall exercise its own judgement when interacting with Customers.
Where a Customer behaves in a manner that is:
- abusive;
- threatening;
- violent;
- discriminatory;
- intoxicated;
- unlawful;
- unsafe;
- likely to endanger persons or property,
the Vendor may refuse service or terminate the Experience where reasonably necessary.
The Vendor shall notify ZeepUp as soon as reasonably practicable of any serious incident involving a Customer.
ZeepUp reserves the right to investigate Customer conduct and take appropriate action under the Customer Terms and Conditions.
Nothing in these Terms obliges ZeepUp to guarantee the conduct of any Customer or compensate the Vendor for losses arising from Customer behaviour.
27. COMPLAINTS AND DISPUTES
The Vendor shall maintain appropriate procedures for handling Customer complaints relating to Products or Experiences.
Where a Customer submits a complaint to ZeepUp, the Vendor agrees to:
- cooperate fully with ZeepUp;
- respond promptly to requests for information;
- provide relevant evidence where reasonably requested;
- seek to resolve complaints professionally and in good faith.
ZeepUp may facilitate communication between the Vendor and the Customer but shall not be obliged to determine liability or adjudicate disputes.
The Vendor acknowledges that ZeepUp may, where reasonably necessary:
- request documentation;
- review Booking information;
- suspend payouts relating to disputed Bookings pending investigation;
- issue refunds in accordance with Platform policies where appropriate.
The Vendor shall remain solely responsible for resolving issues arising from:
- Product quality;
- food safety;
- service quality;
- failure to deliver Products;
- failure to provide Experiences;
- inaccurate listings;
- breaches of applicable law.
Nothing in this section limits ZeepUp's right to suspend or terminate a Vendor Account where repeated complaints indicate unacceptable performance or risks to Customers.
28. REVIEWS AND RATINGS
Customers may submit ratings, reviews and feedback relating to the Vendor, its Products and its Experiences.
The Vendor acknowledges that the review system forms an essential part of the operation of the Platform.
The Vendor shall not:
- submit false reviews;
- request fraudulent reviews;
- offer incentives in exchange for positive reviews unless expressly authorised by ZeepUp;
- manipulate ratings;
- pressure Customers to modify reviews;
- publish misleading testimonials.
ZeepUp reserves the right, at its sole discretion, to:
- moderate reviews;
- remove fraudulent reviews;
- remove abusive reviews;
- temporarily hide reviews;
- permanently delete reviews;
- use automated systems, including artificial intelligence, to identify suspicious or fraudulent review activity.
Reviews may be taken into account when determining:
- Vendor rankings;
- Platform visibility;
- eligibility for promotional campaigns;
- trust and safety assessments;
- continued participation on the Platform.
The Vendor acknowledges that ZeepUp may publish aggregate ratings, review scores and other reputation indicators relating to the Vendor on the Platform.
The Vendor shall have no ownership rights in reviews submitted by Customers.
Nothing in this section obliges ZeepUp to remove reviews solely because the Vendor disagrees with their content.
PART F – PAYMENTS
29. COMMISSION
In consideration for the services provided by ZeepUp, the Vendor agrees to pay the commission and any other applicable fees communicated by ZeepUp from time to time.
Applicable commission rates shall be displayed within the Vendor Portal, agreed in writing, or otherwise communicated by ZeepUp.
Unless expressly agreed otherwise:
- commission shall be calculated on the total value of each completed Booking;
- applicable taxes may be added where required by law;
- ZeepUp may deduct commission directly before remitting payment to the Vendor.
The Vendor shall not:
- attempt to avoid payment of commission;
- manipulate pricing to circumvent commission;
- encourage Customers to complete transactions outside the Platform;
- take any action intended to deprive ZeepUp of fees properly due.
Any attempt to avoid Platform commission shall constitute a material breach of these Terms.
ZeepUp reserves the right to recover unpaid commissions together with any reasonable costs incurred in doing so.
30. PAYMENT PROCESSING
Payments made by Customers are processed through independent third-party payment service providers selected by ZeepUp.
The Vendor acknowledges that:
- payment processing services are provided by third parties;
- use of such services may be subject to separate contractual terms;
- payouts may be subject to verification procedures;
- payment providers may delay or withhold payments to comply with legal or regulatory obligations.
The Vendor shall provide accurate and complete payment information at all times.
The Vendor is solely responsible for ensuring that its payment details remain correct and up to date.
ZeepUp shall not be responsible for delays or failures caused by:
- incorrect banking information;
- failures of payment providers;
- banking system interruptions;
- regulatory investigations;
- anti-fraud procedures;
- events beyond ZeepUp's reasonable control.
31. PAYOUTS
Subject to these Terms, ZeepUp shall use reasonable efforts to arrange payment of amounts due to the Vendor following completion of eligible Bookings.
Payout timing may vary depending on:
- payment provider processing times;
- banking systems;
- fraud prevention procedures;
- regulatory checks;
- refunds;
- chargebacks;
- disputes;
- public holidays.
ZeepUp may temporarily withhold payouts where reasonably necessary to:
- investigate fraud;
- investigate Customer complaints;
- investigate suspected breaches of these Terms;
- comply with applicable law;
- comply with requests from competent authorities;
- protect Customers or the Platform.
The Vendor acknowledges that any estimated payout date displayed on the Platform is indicative only and does not constitute a contractual guarantee.
No interest shall accrue on any amount temporarily withheld in accordance with these Terms.
32. CHARGEBACKS
Where a Customer disputes a payment with their card issuer or payment provider, the Vendor agrees to cooperate fully with ZeepUp in responding to the chargeback.
The Vendor shall provide all information reasonably requested by ZeepUp, including:
- Booking records;
- proof of fulfilment;
- Customer communications;
- photographs;
- receipts;
- any other relevant evidence.
Where a chargeback is upheld because of:
- the Vendor's failure to fulfil a Booking;
- misleading information supplied by the Vendor;
- food safety issues;
- regulatory non-compliance;
- fraudulent conduct by the Vendor;
- breach of these Terms,
ZeepUp may recover from the Vendor:
- the disputed payment;
- any refunded amounts;
- chargeback fees imposed by payment providers;
- administrative costs reasonably incurred by ZeepUp;
- any other losses directly arising from the chargeback.
Nothing in this section prevents ZeepUp from exercising any other contractual or legal remedy available to it.
33. REFUNDS
The Vendor acknowledges that ZeepUp may process refunds to Customers where:
- required by applicable law;
- required under the applicable cancellation policy;
- authorised by the Vendor;
- necessary to resolve a Customer complaint;
- reasonably necessary to protect the integrity of the Platform;
- required following fraud, technical error or duplicate payment.
Where a refund results from the Vendor's:
- cancellation;
- failure to fulfil a Booking;
- inaccurate listing;
- breach of these Terms;
- failure to comply with applicable law,
ZeepUp may deduct the refunded amount from future payouts or otherwise recover the relevant amount from the Vendor.
The Vendor shall not issue refunds outside the Platform where this would interfere with ZeepUp's payment systems or create duplicate refunds.
ZeepUp reserves the right to establish and amend refund procedures from time to time in order to comply with legal requirements, payment provider rules or operational needs.
The Vendor acknowledges that ZeepUp's decision to process a refund for operational or customer service reasons shall not constitute an admission of liability on the part of ZeepUp.
PART G – PLATFORM RULES
34. OFF-PLATFORM TRANSACTIONS
The Vendor acknowledges that ZeepUp invests significant resources in acquiring Customers, operating the Platform and facilitating Bookings.
Accordingly, the Vendor agrees not to circumvent the Platform or attempt to avoid the payment of commission due to ZeepUp.
Without limitation, the Vendor shall not:
- encourage Customers to complete Bookings outside the Platform;
- request payment directly from Customers for Bookings initiated through the Platform;
- invite Customers to cancel a Booking on the Platform and complete the transaction privately;
- advertise alternative booking channels for the purpose of avoiding Platform fees;
- provide Customers with external payment links before or during a Booking where this would circumvent the Platform;
- encourage repeat Bookings outside the Platform where the Customer was originally introduced through ZeepUp.
For the avoidance of doubt, any Customer first introduced to the Vendor through the Platform shall be deemed to be a ZeepUp Customer.
Any attempt to circumvent the Platform shall constitute a material breach of these Terms.
Where ZeepUp reasonably believes that off-platform transactions have occurred, ZeepUp may:
- suspend or terminate the Vendor Account;
- remove listings;
- recover unpaid commission;
- withhold payouts;
- seek compensation for losses suffered;
- pursue any other legal remedies available.
Nothing in this section prevents the Vendor from accepting Customers obtained independently of the Platform.
35. MARKETING AND COMMUNICATIONS
The Vendor grants ZeepUp the right to promote the Vendor, its Products and its Experiences through:
- the Platform;
- websites;
- mobile applications;
- newsletters;
- email campaigns;
- social media;
- search engines;
- digital advertising;
- printed promotional materials;
- public relations activities;
- other marketing channels operated by or on behalf of ZeepUp.
The Vendor grants ZeepUp a worldwide, royalty-free, non-exclusive licence to use:
- the Vendor's trading name;
- logos;
- photographs;
- menus;
- Product descriptions;
- Experience descriptions;
- videos;
- promotional content;
- trademarks supplied by the Vendor,
for the purposes of operating, marketing and promoting the Platform.
The Vendor warrants that it owns, or has all necessary rights to use and license, all content supplied to ZeepUp.
The Vendor shall indemnify ZeepUp against any claim arising from infringement of third-party intellectual property rights relating to Vendor Content.
ZeepUp is under no obligation to promote any particular Vendor or guarantee any minimum level of visibility, Bookings or revenue.
36. INTELLECTUAL PROPERTY
All intellectual property rights relating to the Platform, including without limitation:
- software;
- databases;
- trademarks;
- logos;
- graphics;
- source code;
- design;
- layout;
- user interface;
- business methods;
- documentation;
- content created by ZeepUp,
remain the exclusive property of ZeepUp or its licensors.
Nothing contained in these Terms transfers any ownership rights to the Vendor.
The Vendor shall not:
- copy the Platform;
- reproduce Platform content;
- reverse engineer the Platform;
- scrape Platform data;
- use ZeepUp branding without prior written consent;
- register domain names or social media accounts incorporating the ZeepUp name or trademarks.
The Vendor shall immediately cease any unauthorised use upon request by ZeepUp.
37. VENDOR CONTENT
The Vendor remains responsible for all content uploaded or published through the Platform.
Vendor Content includes, without limitation:
- photographs;
- logos;
- menus;
- videos;
- descriptions;
- recipes;
- promotional material;
- pricing information;
- availability;
- business information.
The Vendor warrants that all Vendor Content:
- is accurate;
- is lawful;
- is not misleading;
- does not infringe third-party rights;
- complies with applicable law.
The Vendor grants ZeepUp a perpetual (for so long as the content remains on the Platform), worldwide, royalty-free, transferable licence to host, reproduce, modify for formatting purposes, translate, publish, display and distribute Vendor Content for the operation, promotion and improvement of the Platform.
ZeepUp may remove Vendor Content where it reasonably believes that such content:
- breaches these Terms;
- infringes third-party rights;
- is misleading;
- damages the reputation of the Platform;
- exposes ZeepUp to legal risk.
37A. SOCIAL CONTENT AND MARKETING LICENCE
The Vendor acknowledges that ZeepUp may make available social, community and promotional features through the Platform, including the publication and sharing of photographs, videos, posts, stories, comments, recipes, menus, promotional materials and other user-generated content ("Social Content").
The Vendor retains ownership of all intellectual property rights in its Social Content.
By uploading, publishing, submitting or otherwise making any Social Content available through the Platform, the Vendor grants ZeepUp a worldwide, non-exclusive, transferable, sublicensable, perpetual (for so long as permitted by applicable law), irrevocable, royalty-free licence to use such Social Content for the purposes of operating, promoting, improving and commercialising the Platform and the ZeepUp brand.
Without limitation, ZeepUp may:
- host, store and reproduce the Social Content;
- publish, display and communicate the Social Content to the public;
- distribute the Social Content through any media or communication channel;
- edit, crop, resize, reformat, subtitle or translate the Social Content, provided that its overall meaning is not materially altered;
- combine the Social Content with other text, graphics, images, audio or video;
- use the Social Content on the Platform, websites, mobile applications and social media channels operated by or on behalf of ZeepUp;
- use the Social Content in digital advertising, printed advertising, promotional campaigns, newsletters, presentations, press releases, public relations activities, investor communications and other marketing materials;
- use the Social Content for commercial, promotional, educational, editorial and branding purposes;
- use the Social Content to develop, improve, train, test and operate ZeepUp's products, services, recommendation systems and automated technologies, provided that such use complies with applicable law.
The Vendor acknowledges and agrees that ZeepUp shall not be required to pay any royalty, licence fee, compensation or other remuneration for the use of the Social Content in accordance with this section.
Where reasonably practicable, ZeepUp may identify the Vendor as the creator or source of the Social Content but shall not be under any obligation to do so.
The Vendor represents and warrants that:
- it owns, or has obtained, all necessary intellectual property rights, licences, permissions and consents required to upload and publish the Social Content;
- the Social Content does not infringe the intellectual property rights, privacy rights, image rights or any other rights of any third party;
- any individuals appearing in the Social Content have provided all necessary permissions required under applicable law.
The Vendor shall indemnify and hold harmless ZeepUp against any claims, losses, liabilities, damages, costs and expenses arising out of or relating to the Vendor's Social Content or any alleged infringement of third-party rights.
The Vendor may remove Social Content from the Platform at any time. However, the Vendor acknowledges and agrees that ZeepUp may continue to use any Social Content that has already been incorporated into advertising campaigns, promotional materials, publications or other marketing activities created prior to its removal, and that such use shall not constitute a breach of these Terms.
37B. CONFIDENTIAL INFORMATION
The Vendor shall keep confidential all non-public information obtained through the Platform or from ZeepUp, including without limitation business information, commercial terms, commission structures, operational procedures, software functionality, Customer information, technical documentation and any other information designated as confidential or which ought reasonably to be considered confidential.
The Vendor shall not disclose such information to any third party except where required by law or with ZeepUp's prior written consent.
This obligation shall survive termination of these Terms.
38. ACCEPTABLE USE
The Vendor shall use the Platform only for legitimate business purposes and in accordance with these Terms.
The Vendor shall not:
- misuse the Platform;
- interfere with Platform security;
- upload malicious software;
- attempt unauthorised access to Platform systems;
- use bots or automated software without written permission;
- manipulate rankings or search results;
- manipulate reviews;
- create fake Bookings;
- create fake Customer Accounts;
- abuse promotional campaigns;
- upload unlawful, defamatory or offensive material;
- interfere with the operation of the Platform.
The Vendor shall not use the Platform in any manner likely to damage the reputation, goodwill or commercial interests of ZeepUp.
ZeepUp may investigate any suspected misuse and take any action reasonably necessary to protect the Platform.
39. ARTIFICIAL INTELLIGENCE AND AUTOMATED SYSTEMS
The Vendor acknowledges that ZeepUp may use automated technologies, algorithms and artificial intelligence systems in connection with the operation of the Platform.
Such systems may be used for purposes including, without limitation:
- fraud detection;
- trust and safety monitoring;
- review moderation;
- spam detection;
- ranking of listings;
- recommendation of Products and Experiences;
- search optimisation;
- customer support;
- Platform analytics;
- performance monitoring;
- risk assessment;
- quality assurance.
The Vendor acknowledges that certain decisions relating to Platform operation may be supported by automated systems.
Nothing in this section obliges ZeepUp to disclose confidential information regarding the operation of its algorithms or automated systems.
ZeepUp reserves the right to modify its algorithms, recommendation systems, ranking methodologies and automated processes at any time where reasonably necessary for operational, commercial, legal or security reasons.
The Vendor shall not attempt to manipulate, circumvent or interfere with any automated system used by the Platform.
PART H – LIABILITY
40. NO VERIFICATION BY ZEEPUP
The Vendor acknowledges and agrees that ZeepUp operates solely as an online technology marketplace and does not supervise, manage or control the Vendor's business activities.
Accordingly, unless expressly required by applicable law, ZeepUp does not undertake, and shall not be deemed to undertake, any obligation to inspect, verify, certify, monitor or approve the Vendor or its business.
Without limitation, ZeepUp does not verify or certify:
- the Vendor's identity;
- the Vendor's legal status;
- the Vendor's qualifications or professional experience;
- the Vendor's financial standing;
- the Vendor's reputation;
- the Vendor's premises;
- Restaurants;
- Home Kitchens;
- private residential properties used for Experiences;
- food preparation processes;
- food storage;
- food transportation;
- hygiene standards;
- food safety procedures;
- HACCP compliance;
- ingredients;
- allergen information;
- nutritional information;
- menus;
- pricing;
- photographs;
- Product descriptions;
- Experience descriptions;
- availability;
- licences;
- permits;
- registrations;
- insurance policies;
- tax compliance;
- VAT compliance;
- employment compliance;
- health and safety compliance;
- fire safety compliance;
- accessibility;
- criminal background checks;
- Customer identity.
Any onboarding review, request for documentation, verification process, inspection of documents or approval by ZeepUp is carried out solely for operational, regulatory, fraud prevention, trust and safety or compliance purposes.
Such activities shall not constitute:
- certification;
- endorsement;
- accreditation;
- approval;
- recommendation;
- guarantee;
- warranty;
- representation of compliance.
The Vendor acknowledges that Customers enter into contracts with the Vendor relying upon the Vendor's own representations and not upon any representation made by ZeepUp.
41. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any liability which cannot lawfully be excluded under applicable law.
Subject to the above, and to the fullest extent permitted by law, ZeepUp shall not be liable for any loss, liability, damage, claim, cost or expense arising out of or relating to:
- the Vendor's business activities;
- Products supplied by the Vendor;
- Experiences organised by the Vendor;
- food preparation;
- food quality;
- food safety;
- allergens;
- cross-contamination;
- hygiene standards;
- licensing compliance;
- tax compliance;
- insurance;
- the conduct of Customers;
- the conduct of third parties;
- damage to the Vendor's premises;
- theft;
- loss of property;
- cyber incidents affecting the Vendor;
- interruption of the Vendor's business;
- loss of profit;
- loss of revenue;
- loss of bookings;
- loss of business opportunity;
- loss of goodwill;
- reputational damage;
- emotional distress;
- inconvenience;
- indirect losses;
- consequential losses;
- incidental losses;
- special damages;
- punitive damages, where such damages are recognised by applicable law.
ZeepUp shall not be liable for any act or omission of any Customer, Vendor, payment provider, third-party service provider or other Platform user.
Where ZeepUp is found liable notwithstanding the above, ZeepUp's aggregate liability arising out of or in connection with these Terms shall not exceed the total amount of commission retained by ZeepUp in respect of the Booking giving rise to the claim during the six (6) months preceding the relevant event.
Nothing in these Terms affects any mandatory rights that cannot lawfully be excluded.
42. VENDOR INDEMNITY
The Vendor shall indemnify, defend and hold harmless ZeepUp, its parent companies, subsidiaries, affiliates, directors, officers, employees, contractors, consultants, shareholders, representatives, agents and licensors from and against any and all claims, proceedings, investigations, liabilities, damages, losses, fines, penalties, judgments, settlements, costs and expenses (including reasonable legal fees) arising directly or indirectly from or in connection with:
- the Vendor's breach of these Terms;
- breach of applicable law;
- breach of regulatory requirements;
- food safety incidents;
- allergen-related claims;
- food poisoning;
- contamination;
- defective Products;
- unsafe premises;
- accidents occurring during Experiences;
- injury to Customers;
- damage to Customer property;
- death or personal injury caused by the Vendor;
- inaccurate listings;
- misleading information;
- infringement of third-party intellectual property rights;
- infringement of privacy rights;
- employment disputes;
- tax liabilities;
- VAT liabilities;
- licensing issues;
- insurance claims;
- investigations by regulatory authorities;
- enforcement action by competent authorities;
- civil proceedings;
- criminal proceedings arising from the Vendor's activities;
- administrative penalties;
- chargebacks;
- Customer complaints resulting from the Vendor's acts or omissions.
This indemnity shall survive termination of these Terms.
43. FORCE MAJEURE
Neither Party shall be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control.
Such events include, without limitation:
- natural disasters;
- severe weather;
- flooding;
- fire;
- epidemic or pandemic;
- war;
- terrorism;
- civil unrest;
- industrial action;
- interruption of utilities;
- internet outages;
- cyber attacks;
- failures of payment providers;
- failures of telecommunications networks;
- governmental action;
- changes in legislation;
- regulatory restrictions;
- any other event beyond the reasonable control of the affected Party.
The affected Party shall use reasonable efforts to mitigate the effects of the Force Majeure Event.
44. SUSPENSION AND TERMINATION
ZeepUp may suspend, restrict, deactivate or permanently terminate the Vendor Account immediately, with or without prior notice where reasonably necessary, if ZeepUp reasonably believes that:
- these Terms have been breached;
- applicable law has been breached;
- inaccurate information has been provided;
- fraudulent activity has occurred;
- food safety concerns exist;
- Customers may be exposed to risk;
- the Vendor no longer satisfies onboarding requirements;
- licences have expired;
- insurance required by law has lapsed;
- repeated Customer complaints have been received;
- repeated cancellations have occurred;
- the Vendor has attempted to circumvent the Platform;
- the Vendor has failed to pay commission;
- the Vendor has engaged in abusive conduct;
- the Vendor has damaged the reputation of ZeepUp;
- continued access presents legal, operational or reputational risk.
Upon suspension or termination, ZeepUp may:
- remove listings;
- cancel pending Bookings;
- withhold payouts pending investigation;
- recover sums due;
- remove Vendor Content;
- notify affected Customers;
- take any other action reasonably necessary to protect the Platform.
Termination shall not affect any rights or obligations accrued before termination.
45. GOVERNING LAW AND GENERAL PROVISIONS
These Terms and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have jurisdiction, subject to any mandatory rights conferred by applicable law.
Entire Agreement
These Terms, together with all policies expressly incorporated by reference, constitute the entire agreement between ZeepUp and the Vendor.
Severability
If any provision is held to be unlawful or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
Failure by ZeepUp to exercise any right shall not constitute a waiver of that right.
Assignment
ZeepUp may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring or sale of its business.
The Vendor may not assign or transfer its rights or obligations without ZeepUp's prior written consent.
Amendments
ZeepUp may amend these Terms from time to time where reasonably necessary to reflect changes in law, regulation, Platform functionality, operational requirements or business practices.
Material changes will be communicated to Vendors using reasonable notice.
Continued use of the Platform following the effective date of the amended Terms constitutes acceptance of the revised Terms.
Survival
Any provision intended by its nature to survive termination, including provisions relating to intellectual property, liability, indemnity, payments, confidentiality, data protection and governing law, shall remain in full force and effect after termination.

The following Appendices form an integral part of these Seller Terms and Conditions.
By registering as a Vendor and using the Platform, the Vendor agrees to comply with the requirements, standards and operational procedures set out in these Appendices, as amended by ZeepUp from time to time in accordance with these Terms.
The Appendices provide practical operational standards and additional requirements applicable to Vendors and should be read together with these Seller Terms and Conditions.
APPENDIX A
VENDOR OPERATING STANDARDS
This Appendix forms an integral part of the ZeepUp Seller Terms and Conditions.
Its purpose is to establish the minimum operational standards that all Vendors must maintain when using the Platform.
These standards apply to all Vendors, including Restaurants, Home Kitchens and Home Dining Experience Hosts.
Failure to comply with these standards may result in warnings, reduced visibility, temporary suspension or permanent removal from the Platform.
1. ACCURATE INFORMATION
Vendors must ensure that all information published on the Platform is accurate, complete and kept up to date at all times.
This includes, without limitation:
- business information;
- contact details;
- menus;
- Product descriptions;
- Experience descriptions;
- prices;
- opening hours;
- photographs;
- availability;
- collection instructions;
- addresses;
- dietary information;
- allergen information.
Information that is inaccurate or misleading must be corrected without undue delay.
2. CALENDAR AND AVAILABILITY
Vendors are responsible for maintaining an accurate booking calendar and availability schedule.
Availability must be updated promptly whenever Products or Experiences become unavailable.
Vendors should avoid accepting Bookings that they cannot reasonably fulfil.
Repeated overbooking, inaccurate availability or operational failures may affect Vendor performance and visibility on the Platform.
3. RESPONDING TO CUSTOMERS
Vendors should respond to Customer enquiries promptly, professionally and courteously.
Where a Customer contacts a Vendor regarding an existing Booking, the Vendor should use reasonable efforts to respond as soon as practicable.

4. PUNCTUALITY
Products and Experiences should be made available at the agreed date and time.
Customers should not be required to wait unnecessarily due to poor operational planning.
Where an unavoidable delay occurs, Vendors should inform the Customer and ZeepUp as soon as reasonably practicable.
5. CUSTOMER EXPERIENCE
Vendors are expected to provide a professional, welcoming and respectful experience to Customers.
Vendors should:
- behave courteously;
- communicate clearly;
- treat Customers fairly;
- provide Products and Experiences as described on the Platform.
Discrimination, harassment, abusive behaviour or unlawful conduct towards Customers will not be tolerated.
6. QUALITY STANDARDS
Products and Experiences should meet the descriptions published on the Platform.
Vendors should make reasonable efforts to ensure consistency in:
- quality;
- presentation;
- cleanliness;
- customer service;
- overall experience.
Repeated complaints relating to quality may result in Platform action.
7. CUSTOMER COMPLAINTS
Where a Customer raises a concern, Vendors are expected to:
- cooperate;
- communicate respectfully;
- provide requested information;
- seek to resolve the matter promptly.
Vendors should avoid confrontational behaviour or attempts to discourage legitimate complaints.
8. COMPLIANCE
Vendors remain solely responsible for ensuring compliance with:
- applicable laws;
- food safety legislation;
- licensing requirements;
- tax obligations;
- health and safety requirements;
- data protection legislation;
- all obligations contained within the Seller Terms and Conditions.
Compliance with these standards remains the sole responsibility of the Vendor.
9. PERFORMANCE MONITORING
ZeepUp may monitor Vendor performance using a range of operational indicators, including:
- Booking fulfilment;
- cancellation rates;
- response times;
- Customer ratings;
- Customer reviews;
- repeated complaints;
- operational reliability;
- compliance with Platform policies.
Such monitoring helps maintain the quality, safety and reliability of the Platform.
10. FAILURE TO COMPLY
Failure to comply with these Vendor Operating Standards may result in one or more of the following actions:
- guidance or recommendations;
- warnings;
- temporary reduction in listing visibility;
- temporary suspension of Products or Experiences;
- temporary suspension of the Vendor Account;
- permanent removal from the Platform.
The action taken will depend on the seriousness, frequency and impact of the non-compliance.
Nothing in this Appendix limits ZeepUp's rights under the Seller Terms and Conditions.
APPENDIX B
HOME KITCHEN STANDARDS
This Appendix forms an integral part of the ZeepUp Seller Terms and Conditions.
It establishes the minimum operational standards applicable to Vendors offering Products prepared from a Home Kitchen.
These standards supplement, and do not replace, the Vendor's legal obligations under applicable law.
1. GENERAL RESPONSIBILITY
The Vendor is solely responsible for the operation of its Home Kitchen.
The Vendor shall ensure that all Products offered through the Platform are prepared, stored, packaged and made available for collection in accordance with applicable food safety legislation and recognised industry standards.
ZeepUp does not inspect, supervise or certify Home Kitchens.
2. FOOD PREPARATION
The Vendor shall prepare all Products:
- in hygienic conditions;
- using suitable ingredients;
- using clean equipment and utensils;
- in accordance with applicable food safety legislation;
- with reasonable care and skill.
Food shall not be prepared where the Vendor knows, or reasonably ought to know, that it may present a risk to Customers.
3. STORAGE
Ingredients and prepared Products shall be stored appropriately before collection.
The Vendor is responsible for ensuring that:
- chilled products remain appropriately refrigerated;
- frozen products remain appropriately frozen;
- hot food is maintained safely until collection where applicable;
- food is protected against contamination.
4. PACKAGING
Products must be packaged appropriately for collection.
Packaging should:
- protect the Product;
- minimise contamination risks;
- be suitable for the type of Product supplied;
- comply with applicable legal requirements.
The Vendor is solely responsible for selecting appropriate packaging materials.
5. COLLECTION
The Vendor shall ensure that Products are available for collection at the agreed time.
Collection instructions published on the Platform should be accurate and kept up to date.
Where collection arrangements change unexpectedly, the Vendor shall notify affected Customers as soon as reasonably practicable.
6. CLEANLINESS
The Vendor shall maintain appropriate standards of cleanliness throughout areas used for:
- food preparation;
- storage;
- packaging;
- collection.
Equipment and utensils should be cleaned regularly and maintained in a safe condition.
7. ALLERGENS
The Vendor shall ensure that allergen information remains accurate and up to date at all times.
Where recipes or ingredients change, the Vendor shall immediately update the information published on the Platform.
The Vendor remains solely responsible for communicating accurate allergen information to Customers.
8. PRODUCT QUALITY
Products supplied through the Platform should be consistent with the description published by the Vendor.
The Vendor should take reasonable steps to ensure consistency in:
- appearance;
- quality;
- freshness;
- presentation;
- portion size.
9. CUSTOMER COLLECTION EXPERIENCE
Customers collecting Products should be treated respectfully and professionally.
The Vendor should:
- make reasonable efforts to minimise waiting times;
- provide clear collection instructions;
- communicate courteously;
- ensure Products are ready for collection at the agreed time whenever reasonably possible.
10. FAILURE TO COMPLY
Repeated failures to comply with these Home Kitchen Standards may result in:
- warnings;
- reduced visibility within the Platform;
- temporary suspension of listings;
- temporary suspension of the Vendor Account;
- permanent removal from the Platform.
Nothing in this Appendix limits the Vendor's legal obligations or ZeepUp's rights under the Seller Terms and Conditions.
APPENDIX C
HOME DINING EXPERIENCE STANDARDS
This Appendix forms an integral part of the ZeepUp Seller Terms and Conditions.
It establishes the minimum operational standards applicable to Vendors hosting Home Dining Experiences through the Platform.
These standards are intended to promote a safe, welcoming and enjoyable experience for Customers while recognising that each Experience is unique.
Nothing in this Appendix limits the Vendor's legal obligations under applicable law.
1. GENERAL RESPONSIBILITY
The Vendor is solely responsible for organising, hosting and delivering each Home Dining Experience.
The Vendor remains solely responsible for:
- the premises;
- the food served;
- the organisation of the Experience;
- the behaviour of any assistants or staff;
- compliance with applicable laws.
ZeepUp does not organise, supervise or manage Home Dining Experiences.
2. WELCOMING CUSTOMERS
Vendors should make reasonable efforts to provide Customers with a welcoming, respectful and inclusive environment.
Customers should be greeted professionally and treated fairly throughout the Experience.
Discrimination, harassment or abusive behaviour towards Customers will not be tolerated.
3. CLEANLINESS
Areas used for the Experience should be clean, hygienic and reasonably suitable for receiving guests.
This includes, where applicable:
- dining areas;
- kitchens;
- food preparation areas;
- guest toilet facilities;
- collection or entrance areas.
4. SAFETY OF THE PREMISES
The Vendor shall take reasonable steps to ensure that the premises used for the Experience are reasonably safe for invited guests.
This includes identifying and managing foreseeable risks associated with:
- stairs;
- uneven flooring;
- hot surfaces;
- cooking equipment;
- electrical appliances;
- outdoor areas;
- other hazards reasonably foreseeable within a domestic environment.
Nothing in this Appendix shall be interpreted as requiring ZeepUp to inspect or certify any premises.
5. FOOD SERVICE
Food served during the Experience should:
- correspond with the description published on the Platform;
- be prepared in accordance with applicable food safety legislation;
- be served in an appropriate condition;
- include accurate allergen information where required.
The Vendor remains solely responsible for the quality and safety of all Products served.
6. ALCOHOL
Where alcoholic beverages are served, the Vendor shall ensure compliance with all applicable legal and licensing requirements.
The Vendor should promote responsible consumption and may refuse to serve alcohol where reasonably necessary to protect the safety of guests or comply with the law.
ZeepUp does not supply or serve alcoholic beverages.
7. PETS, CHILDREN AND DOMESTIC ENVIRONMENT
Where relevant, Vendors should accurately describe any significant characteristics of the premises that may reasonably influence a Customer's decision to participate.
This may include, where applicable:
- the presence of pets;
- children living at the property;
- accessibility limitations;
- stairs;
- outdoor areas;
- parking availability.
Providing accurate information helps Customers make informed decisions before booking.
8. CUSTOMER PRIVACY
Vendors shall respect the privacy of all Customers attending an Experience.
The Vendor should not:
- publish Customer photographs without appropriate permission;
- disclose Customer personal information;
- use Customer information for purposes unrelated to the Booking.
9. EMERGENCIES
The Vendor should be prepared to respond appropriately to emergencies occurring during an Experience.
Where appropriate, the Vendor should:
- contact the emergency services;
- prioritise the safety of guests;
- notify ZeepUp as soon as reasonably practicable following any serious incident.
10. CUSTOMER EXPERIENCE
The Vendor should make reasonable efforts to ensure that the Experience is delivered substantially as described on the Platform.
Customers should receive:
- the advertised Experience;
- the advertised menu;
- the advertised duration (subject to reasonable variations);
- the level of hospitality reasonably expected from the listing.
11. RESPECT FOR NEIGHBOURS
The Vendor should conduct Home Dining Experiences in a manner that respects neighbouring properties and the surrounding community.
Reasonable efforts should be made to minimise unnecessary disturbance, excessive noise or disruption.
12. FAILURE TO COMPLY
Repeated failure to comply with these Home Dining Experience Standards may result in:
- guidance from ZeepUp;
- warnings;
- temporary suspension of listings;
- temporary suspension of the Vendor Account;
- permanent removal from the Platform.
Nothing in this Appendix limits ZeepUp's rights under the Seller Terms and Conditions or the Vendor's legal obligations under applicable law.
APPENDIX D
INCIDENT REPORTING PROCEDURE
This Appendix forms an integral part of the ZeepUp Seller Terms and Conditions.
Its purpose is to ensure that incidents affecting Customers, Vendors or the Platform are reported promptly so that appropriate action can be taken.
The Vendor agrees to cooperate fully with ZeepUp in relation to any incident connected with the Products, Experiences or activities offered through the Platform.
1. INCIDENTS THAT MUST BE REPORTED
The Vendor must notify ZeepUp without undue delay of any incident that may affect:
- the safety of Customers;
- the safety of third parties;
- the reputation of the Platform;
- compliance with applicable law.
This includes, without limitation:
- suspected food poisoning;
- allergen incidents;
- serious customer illness;
- serious injury;
- death;
- fire;
- flooding;
- gas leak;
- electrical incident;
- police attendance;
- ambulance attendance;
- criminal activity;
- theft;
- assault;
- harassment;
- discrimination;
- threats or violence;
- significant property damage;
- regulatory inspection;
- enforcement action by a public authority;
- media enquiries relating to ZeepUp;
- cyber security incidents affecting Customer information;
- personal data breaches;
- any other event that may reasonably present a significant legal, regulatory or reputational risk.
2. REPORTING TIMES
The Vendor should notify ZeepUp:
Immediately, where the incident involves:
- death;
- serious injury;
- suspected criminal activity;
- police attendance;
- fire;
- serious food safety risks;
- allergen incidents requiring medical treatment;
- any incident presenting an immediate risk to Customers.
For all other reportable incidents, the Vendor should notify ZeepUp as soon as reasonably practicable and, where possible, within 24 hours of becoming aware of the incident.
3. INFORMATION TO PROVIDE
Where possible, the Vendor should provide:
- Booking reference;
- date and time;
- location;
- names of those directly involved (where known);
- description of the incident;
- actions already taken;
- whether emergency services attended;
- whether any regulator has been notified;
- photographs or other supporting evidence, where available.
4. COOPERATION
The Vendor agrees to cooperate fully with ZeepUp during any investigation.
This may include:
- providing additional information;
- providing documents;
- preserving evidence;
- responding promptly to requests;
- cooperating with regulators where required by law.
The Vendor shall not knowingly provide false or misleading information during any investigation.
5. CUSTOMER SAFETY
Where an incident may present an ongoing risk to Customers, the Vendor shall immediately cease offering the affected Product or Experience until the risk has been appropriately addressed.
Nothing in this section limits ZeepUp's right to suspend listings or the Vendor Account where necessary to protect Customers.
6. REGULATORY ACTION
The Vendor shall notify ZeepUp immediately if it becomes aware of:
- inspection by a food safety authority;
- improvement notices;
- prohibition notices;
- licence suspension;
- licence revocation;
- regulatory investigation;
- prosecution;
- enforcement action;
- any other action that may affect the Vendor's ability to operate lawfully.
7. MEDIA ENQUIRIES
If the Vendor is contacted by journalists or media organisations regarding any incident connected with ZeepUp or the Platform, the Vendor shall not make statements on behalf of ZeepUp.
The Vendor shall promptly notify ZeepUp of any significant media enquiry relating to the Platform.
Nothing in this section prevents the Vendor from making statements regarding its own business where appropriate.
8. RECORD KEEPING
The Vendor should retain reasonable records relating to reportable incidents where required by applicable law or reasonably necessary for the purposes of investigations, insurance claims or dispute resolution.
9. FAILURE TO REPORT
Failure to report incidents in accordance with this Appendix may be treated as a material breach of the Seller Terms and Conditions.
Depending on the seriousness of the incident, ZeepUp may:
- issue a warning;
- suspend Products or Experiences;
- suspend the Vendor Account;
- permanently remove the Vendor from the Platform;
- notify competent authorities where required by law.
10. OUR ROLE
ZeepUp operates as an online marketplace and does not supervise or control the day-to-day activities of Vendors.
The reporting procedures described in this Appendix do not transfer responsibility for the Vendor's business to ZeepUp.
The Vendor remains solely responsible for complying with all legal, regulatory, contractual and insurance obligations arising from its business activities.
APPENDIX E
REVIEWS AND REPUTATION POLICY
This Appendix forms an integral part of the ZeepUp Seller Terms and Conditions.
The purpose of this Policy is to promote a fair, transparent and trustworthy review system for all users of the Platform.
Reviews help Customers make informed decisions and contribute to maintaining the quality and integrity of the ZeepUp community.
1. CUSTOMER REVIEWS
Following completion of a Booking, Customers may be invited to leave:
- a rating;
- a written review;
- photographs;
- comments;
- other feedback relating to the Vendor, Product or Experience.
Reviews represent the personal opinions of Customers.
ZeepUp does not guarantee the accuracy of any review.
2. FAIR REVIEWS
Vendors must not:
- submit reviews about themselves;
- arrange for others to submit false reviews;
- purchase reviews;
- exchange reviews;
- manipulate ratings;
- pressure Customers to change reviews;
- offer incentives in exchange for positive reviews unless expressly authorised by ZeepUp.
3. PROHIBITED CONTENT
Reviews must not contain:
- defamatory statements;
- hate speech;
- discriminatory content;
- threats;
- abusive language;
- illegal content;
- confidential information;
- personal information relating to third parties;
- spam;
- advertising;
- content unrelated to the relevant Booking.
ZeepUp reserves the right to remove such content without notice.
4. REVIEW MODERATION
ZeepUp may review, moderate, temporarily hide or permanently remove reviews where it reasonably believes that they:
- breach the Customer Terms;
- breach the Seller Terms;
- breach Community Standards;
- contain prohibited content;
- appear fraudulent;
- appear misleading;
- expose ZeepUp or users to legal risk.
ZeepUp may also use automated systems and artificial intelligence to assist with review moderation.
5. REVIEW SCORES
Review scores may be used by ZeepUp for operational purposes, including:
- Vendor rankings;
- search results;
- recommendations;
- eligibility for promotional campaigns;
- trust and safety monitoring;
- quality assurance.
ZeepUp may change the way review scores are calculated from time to time.
6. REPORTING REVIEWS
Where a Vendor believes that a review breaches this Policy, the Vendor may report it through the App or by contacting ZeepUp.
Reporting a review does not guarantee that it will be removed.
ZeepUp will assess each report on its own merits.
7. REPUTATION
The Vendor acknowledges that ratings, reviews and other reputation indicators form an important part of the Platform.
Consistently poor performance, repeated complaints or low customer satisfaction may affect:
- visibility within the Platform;
- eligibility for promotions;
- participation in marketing campaigns;
- continued participation on the Platform.
8. OUR ROLE
ZeepUp does not guarantee that all reviews are accurate or complete.
However, ZeepUp is committed to maintaining a fair and transparent review system and may take reasonable steps to investigate abuse, fraud or manipulation of reviews where appropriate.
APPENDIX F
VENDOR CONTENT & MARKETING GUIDELINES
This Appendix forms an integral part of the ZeepUp Seller Terms and Conditions.
The purpose of these Guidelines is to promote high-quality, authentic and engaging content across the Platform while ensuring consistency with the ZeepUp brand.
1. VENDOR CONTENT
Vendors are encouraged to create original, accurate and engaging content that reflects their Products, Experiences and business.
Vendor Content may include:
- photographs;
- videos;
- menus;
- recipes;
- Product descriptions;
- Experience descriptions;
- promotional posts;
- stories;
- announcements;
- business updates;
- other content uploaded through the Platform.
All Vendor Content must be truthful and accurately represent the Products or Experiences offered.
2. QUALITY OF CONTENT
Vendors should ensure that photographs and videos:
- are clear and of good quality;
- accurately represent the Products or Experiences;
- are recent;
- are not misleading;
- do not contain offensive or unlawful material.
ZeepUp may remove poor-quality or misleading content where it reasonably considers that such content negatively affects the user experience or the reputation of the Platform.
3. INTELLECTUAL PROPERTY
The Vendor shall upload only content that:
- it owns; or
- it has all necessary rights and permissions to use.
The Vendor remains responsible for ensuring that uploaded content does not infringe:
- copyright;
- trademarks;
- image rights;
- privacy rights;
- any other rights belonging to third parties.
4. SOCIAL CONTENT
The Vendor may voluntarily publish social content through the Platform, including:
- posts;
- photographs;
- videos;
- stories;
- recipes;
- behind-the-scenes content;
- announcements;
- promotional content.
The Vendor acknowledges that such content may be viewed, shared and interacted with by other users in accordance with the functionality of the Platform.
5. USE OF CONTENT BY ZEEPUP
As provided in the Seller Terms and Conditions, the Vendor grants ZeepUp the right to use Vendor Content and Social Content for the operation, promotion and marketing of the Platform.
Accordingly, ZeepUp may use such content for purposes including:
- promoting the Platform;
- promoting the Vendor;
- digital advertising;
- social media;
- newsletters;
- press releases;
- public relations;
- investor presentations;
- promotional campaigns;
- editorial content;
- educational content;
- brand communications.
Where reasonably practicable, ZeepUp may identify the Vendor as the creator of the relevant content but shall not be under any obligation to do so.
6. COMMUNITY ENGAGEMENT
Vendors are encouraged to engage positively with the ZeepUp community by:
- publishing authentic content;
- responding respectfully to comments;
- sharing updates;
- showcasing Products and Experiences;
- promoting responsible behaviour.
Harassment, spam, abusive content or misleading promotions are not permitted.
7. CONTENT MODERATION
ZeepUp reserves the right to review, moderate, temporarily hide or permanently remove Vendor Content where it reasonably believes that the content:
- breaches applicable law;
- breaches the Seller Terms;
- breaches Community Standards;
- infringes third-party rights;
- is misleading;
- damages the reputation of the Platform;
- presents a safety or legal risk.
ZeepUp may use automated systems, including artificial intelligence, to assist with content moderation.
8. MARKETING CAMPAIGNS
From time to time, ZeepUp may feature Vendors, Products or Experiences in marketing campaigns.
Selection for marketing campaigns is entirely at ZeepUp's discretion and may take into account factors including:
- quality of content;
- Customer ratings;
- operational performance;
- reliability;
- community engagement;
- seasonal relevance.
Participation in any marketing campaign does not guarantee future promotion.
9. REMOVAL OF CONTENT
The Vendor may remove content from the Platform at any time, subject to the Seller Terms.
However, where content has already been incorporated into advertising campaigns, promotional materials or publications created before its removal, ZeepUp may continue to use such materials in accordance with the licence granted under the Seller Terms.
10. OUR ROLE
ZeepUp aims to promote authentic, high-quality content that reflects the diversity of its community.
These Guidelines are intended to support Vendors in presenting their Products and Experiences in a consistent and professional manner while maintaining the integrity of the Platform.
APPENDIX G
PLATFORM RULES
This Appendix forms an integral part of the ZeepUp Seller Terms and Conditions.
These Platform Rules establish the operational standards that all Vendors must follow when using the Platform.
Failure to comply with these Rules may result in warnings, suspension of listings, suspension of the Vendor Account or permanent removal from the Platform.
1. FAIR USE OF THE PLATFORM
Vendors shall use the Platform honestly, fairly and in good faith.
Vendors must not engage in any activity intended to manipulate, interfere with or undermine the operation, integrity or reputation of the Platform.
2. OFF-PLATFORM BOOKINGS
Customers introduced to the Vendor through ZeepUp are Customers of the Platform.
The Vendor shall not:
- encourage Customers to complete Bookings outside the Platform;
- request payment outside the Platform for Bookings initiated through ZeepUp;
- redirect Customers to external booking systems for the purpose of avoiding Platform fees;
- invite Customers to cancel a Booking made through ZeepUp in order to complete the transaction privately.
Attempts to circumvent the Platform may result in immediate suspension or permanent removal.
3. COMMISSION AVOIDANCE
Vendors shall not take any action intended to avoid or reduce commissions properly payable to ZeepUp.
Examples include:
- false pricing;
- split payments;
- cash payments outside the Platform;
- alternative payment links;
- hidden fees designed to bypass Platform payments.
4. FRAUD
The following activities are strictly prohibited:
- fraudulent Bookings;
- fake Customer Accounts;
- fake Vendor Accounts;
- identity fraud;
- payment fraud;
- chargeback fraud;
- false documentation;
- misleading information;
- impersonation;
- deliberate misuse of promotional campaigns.
ZeepUp may investigate any suspected fraud and cooperate with payment providers and competent authorities.
5. REVIEWS
Vendors shall not:
- create fake reviews;
- purchase reviews;
- exchange reviews;
- request false reviews;
- manipulate ratings;
- intimidate Customers into changing reviews.
Any attempt to manipulate the review system may result in immediate enforcement action.
6. PLATFORM SECURITY
Vendors must not:
- interfere with the operation of the Platform;
- upload malicious software;
- introduce viruses or malware;
- attempt unauthorised access to Platform systems;
- interfere with security features;
- disrupt services provided to other users.
7. AUTOMATED SYSTEMS
Unless expressly authorised by ZeepUp in writing, Vendors shall not:
- use bots;
- use automated booking systems;
- scrape Platform content;
- harvest Customer information;
- use automated software to manipulate rankings or search results.
8. MULTIPLE ACCOUNTS
A Vendor shall not create or operate multiple Vendor Accounts for the purpose of:
- avoiding suspension;
- manipulating rankings;
- obtaining promotional benefits;
- misleading Customers.
Additional Accounts may only be created with ZeepUp's prior written approval.
9. PROMOTIONAL CAMPAIGNS
Where Vendors participate in promotions organised by ZeepUp, they shall comply with any campaign-specific rules communicated by ZeepUp.
The Vendor shall not:
- misuse promotional codes;
- create fake transactions;
- manipulate promotional campaigns;
- encourage Customers to abuse promotional offers.
10. PLATFORM UPDATES
ZeepUp may introduce new features, operational procedures, security measures or technical requirements from time to time.
Vendors agree to comply with such changes where reasonably necessary for:
- security;
- legal compliance;
- operational efficiency;
- customer protection;
- Platform development.
Reasonable notice will normally be provided where material changes affect Vendors.
11. INVESTIGATIONS
Where ZeepUp reasonably suspects that these Platform Rules have been breached, it may:
- request information;
- request supporting documentation;
- suspend listings;
- temporarily withhold payouts;
- conduct internal investigations;
- cooperate with regulators;
- cooperate with law enforcement agencies where required by law.
The Vendor agrees to cooperate fully with any reasonable investigation.
12. ENFORCEMENT
Where these Platform Rules are breached, ZeepUp may take one or more of the following actions:
- issue guidance or recommendations;
- issue warnings;
- reduce listing visibility;
- suspend Products or Experiences;
- suspend the Vendor Account;
- permanently remove the Vendor from the Platform;
- recover losses where permitted by law;
- report unlawful activity to competent authorities where required or appropriate.
The action taken will depend upon the seriousness, frequency and impact of the breach.
13. OUR ROLE
ZeepUp operates the Platform as an independent technology marketplace.
These Platform Rules are intended to support the safe, fair and effective operation of the Platform.
Nothing in this Appendix limits ZeepUp's rights under the Seller Terms and Conditions or the Vendor's obligations under applicable law.
